This Distribution Rights, Content Assignment, and Likeness Consent Agreement ("Agreement") is entered into by and between Real.Photos, Inc. ("Company," "we," "us," or "Real.Photos"), a Delaware corporation, and the undersigned creator ("Contractor," "you").
This Agreement governs all photographic, video, and other media content created via the Real.Photos platform or uploaded from your personal collection (collectively, the "Content").
Contractor acknowledges that they understand and agree that images containing their face or the faces of others may be used in unblurred, fully identifiable form to train artificial intelligence systems, including systems capable of recognizing or reproducing human identity.
1.1 Full Assignment. Contractor hereby irrevocably assigns, transfers, and conveys to Company all right, title, and interest worldwide in and to the Content, including without limitation: all copyrights and neighboring rights; all rights of reproduction, distribution, public display, public performance, modification, adaptation, translation, transformation, and preparation of derivative works; all rights to sublicense, sell, assign, transfer, commercialize, or otherwise exploit the Content; and all rights to use the Content for artificial intelligence, machine learning, and data training purposes, whether commercial or non-commercial. This assignment applies in perpetuity throughout the world and covers all rights now known or later developed.
1.2 Work Made for Hire. To the extent permitted by law, the Content shall be deemed a work made for hire for Company. If not, all rights are assigned as above.
1.3 Irrevocability. The assignment is irrevocable, perpetual, and unconditional.
The assignment is effective immediately upon execution and not conditioned on payment, tax forms, or payout setup. Company may immediately use, license, sell, or distribute the Content.
Company may use the Content for AI training, datasets, and generative systems.
3.1 Output Similarity Waiver. Contractor waives claims arising from similarity in AI outputs.
Company may extract embeddings, biometric identifiers, and derived data and use them independently.
5.1 Contractor Consent. Contractor grants rights to use likeness, facial features, biometric identifiers, and identity characteristics for AI training, facial recognition, and commercial use, including in fully identifiable form.
5.2 Consent for Depicted Individuals. Contractor represents all depicted individuals are 18+ and have provided written consent for: commercial use; AI training; biometric processing; unblurred identifiable face use; and identity recognition and matching.
5.3 Biometric Law Compliance. Contractor represents compliance with biometric laws.
5.4 Waiver. Contractor waives claims related to likeness, biometric use, and identity recognition.
5.5 Explicit Biometric Processing. Company may use unblurred identifiable faces for facial recognition, identity matching, and AI training.
5.6 Consent Records. Contractor must retain and provide consent records.
Content has not been previously licensed for AI training.
Payment is full consideration; no royalties unless agreed.
Contractor owns the content, it is not AI-generated, and rights are cleared.
Contractor indemnifies Company for claims, including failure to obtain proper consent.
Company may adapt processing for compliance.
All rights survive indefinitely.
No employment relationship.
New York law; arbitration in New York.
Standard clauses including assignment, severability, waiver, liability limits, export control, force majeure, and survival.
